Curatu AI Inc. Terms of Use

These Terms of Use ("Terms") are a binding agreement between Curatu AI Inc. ("Curatu", "we", "us", "our") and you ("Customer", "you", "your"). By Signing Up, creating an account, accessing, or using any part of the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not create an account or use the Services.

Enterprise Agreements

If you have entered into a separate written agreement with Curatu AI Inc., including but not limited to a Master Services Agreement ("MSA"), Statement of Work ("SOW"), or other negotiated contract (each, an "Enterprise Agreement"), then such Enterprise Agreement will govern your use of the Services to the extent it conflicts with these Terms of Use.

In the event of any inconsistency between these Terms of Use and an Enterprise Agreement, the Enterprise Agreement will control. These Terms of Use apply only to the extent not expressly addressed or overridden by the Enterprise Agreement.

1. Agreement Overview

These Terms, together with our Privacy Policy, any applicable Data Processing Addendum ("DPA"), and any Order Form, constitute the entire agreement governing your use of the Services. Any additional or conflicting terms in purchase orders or other documents are rejected unless expressly agreed in writing by Curatu.

2. Eligibility and Authority

You represent that you are at least 18 years old and have the authority to bind the organization you represent. The Services are intended for business and commercial use.

3. Definitions

Account/License: The account and permissions used to access the Services.
Agent: Your authorized users who access the Services on your behalf.
Customer Data: Any data, content, files, prompts, messages, or materials submitted, uploaded, transmitted, stored, or processed through the Services by or for you.
End-Users: Individuals who interact with experiences powered by your use of the Services.
Order Form: Any ordering document or online checkout describing subscription terms, fees, and plan details.
Services: Curatu’s hosted software, applications, widgets, APIs, and related features, excluding third-party services.

4. Changes to Terms and Services

Curatu may update these Terms from time to time by posting an updated version. Continued use of the Services after an update constitutes acceptance of the updated Terms. Curatu may modify, discontinue, or add features at any time without liability.

5. Account Responsibilities

You are responsible for all activity under your Account and for maintaining the confidentiality of credentials. You must ensure that your Agents and End-Users comply with these Terms. Curatu is not responsible for unauthorized access resulting from your failure to secure your credentials.

6. Acceptable Use

You agree not to, and not to allow others to:

  • Upload, transmit, or process content that is unlawful, harmful, infringing, or violates third-party rights.
  • Use the Services for fraudulent, deceptive, or illegal activities.
  • Interfere with, disrupt, or attempt to gain unauthorized access to the Services, systems, or networks.
  • Reverse engineer, decompile, scrape, or attempt to extract source code, models, or underlying components.
  • Use the Services to develop, train, or improve a competing product except as expressly permitted in writing by Curatu.

Curatu may suspend or terminate access immediately if we believe there is a violation of this section or any use that poses risk to Curatu, customers, End-Users, or the public.

Customer Responsibility for Submitted Data

You represent and warrant that you have all necessary rights, permissions, and consents to submit personal data, confidential information, or proprietary materials to the Services and to authorize Curatu’s processing of such data as described in this Privacy Policy and the Terms of Use.

7. Third-Party Services and Integrations

The Services may interoperate with third-party products or services. Third-party services are not controlled by Curatu and may be subject to their own terms and privacy policies. Curatu is not responsible for third-party services, including their availability, security, or performance.

8. Ownership and Intellectual Property

Curatu retains all rights, title, and interest in and to the Services and all related intellectual property. You retain ownership of Customer Data. You grant Curatu a worldwide, non-exclusive, royalty-free license to host, process, transmit, and display Customer Data solely to provide, secure, maintain, and improve the Services, and to provide support, in accordance with applicable agreements (including any DPA).

9. Fees, Billing, and Taxes

Fees and billing terms are set out in your Order Form or plan selection. All fees are exclusive of taxes and are non-refundable except where required by law or expressly stated in writing by Curatu. Curatu may suspend or terminate the Services for non-payment.

10. Trials, Beta Features, and Previews

Trials and beta features may be offered at Curatu’s discretion and may be changed or discontinued at any time. Trials and beta features are provided without warranties and are used at your sole risk.

11. AI Output Disclaimer

The Services may generate AI-based outputs, summaries, responses, or recommendations. AI outputs may be inaccurate, incomplete, biased, or inappropriate. You are solely responsible for reviewing, validating, and ensuring the suitability of any outputs before relying on them. Curatu is not liable for decisions, actions, or outcomes based on AI-generated output.

11.1 AI Systems and Model Improvement

The Services utilize artificial intelligence and machine learning technologies. To operate, maintain, secure, and improve the Services, Curatu may process Customer Data, prompts, inputs, outputs, usage patterns, and related metadata.

Subject to applicable law and any applicable Data Processing Addendum, Curatu may use Customer Data and AI interaction data to develop, train, test, validate, and improve its models, algorithms, features, and Services. Such use may include automated and manual review.

Curatu may aggregate, anonymize, or de-identify data prior to such use where commercially reasonable, but de-identification is not guaranteed. You acknowledge that use of the Services constitutes your authorization for such processing. Curatu does not guarantee that Customer Data will not be included in model improvement processes unless expressly agreed in writing.

You remain responsible for ensuring that you have all necessary rights, permissions, and consents to submit Customer Data for these purposes.

Curatu’s data processing practices may evolve over time as artificial intelligence technologies develop.

Notwithstanding the foregoing, if you are an Enterprise customer subject to an applicable MSA or SOW that restricts or excludes the use of Customer Data for model training or improvement, Curatu will process Customer Data in accordance with the terms of that Enterprise Agreement.

12. Security and No Liability for Data Incidents

Curatu uses commercially reasonable measures designed to protect the Services and Customer Data. However, no system is completely secure. To the maximum extent permitted by law, Curatu is not liable for unauthorized access, alteration, deletion, destruction, loss, or disclosure of data except to the extent caused solely by Curatu’s gross negligence or willful misconduct. Where required, Curatu will comply with applicable legal notification obligations.

13. Availability

Unless a separate Service Level Agreement is signed by Curatu, the Services are provided on an "as available" basis. Curatu does not guarantee uninterrupted availability, error-free operation, or that specific features will remain available.

14. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE". CURATU DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. CURATU DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT AI OUTPUTS WILL BE ACCURATE OR RELIABLE.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) CURATU WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY; AND (B) CURATU’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE FEES PAID BY YOU TO CURATU IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

16. Indemnification

You will defend, indemnify, and hold harmless Curatu and its directors, officers, employees, and contractors from any claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising out of or related to (a) your use of the Services, (b) Customer Data, (c) your breach of these Terms, or (d) disputes between you and your End-Users.

17. Termination

Curatu may suspend or terminate your access to the Services at any time for any reason, including suspected violation of these Terms. You may stop using the Services at any time. Sections intended to survive termination will survive, including ownership, disclaimers, limitations of liability, and indemnification.

18. Confidentiality

Each party will protect the other party’s Confidential Information using reasonable care and use it only to perform obligations under these Terms. Confidential Information does not include information that is publicly available through no fault of the receiving party.

19. Governing Law and Venue

These Terms are governed by the laws of Ontario, Canada, without regard to conflict of laws. Any dispute will be brought exclusively in the courts located in Ontario, Canada.

20. Feedback

If you provide feedback or suggestions, you grant Curatu a worldwide, non-exclusive, perpetual, irrevocable, royalty-free license to use, reproduce, modify, distribute, and incorporate such feedback into the Services without any obligation or compensation.
